The Opportunity

A leading provider of financial services is looking for a Manager Company Secretary. This is a challenging opportunities where you will be responsible for a team of 6 people. The Responsibilities

As Manager Company Secretary you will be responsible providing company secretarial services for established or new funds and corporate entities. The professional team you will manage consists of 6 people.
Further responsibilities will cover, but are not limited to:

  • Providing direction, support and coordination to the Corporate Secretarial Administrators
  • Recruit, develop and train the Corporate Secretarial Team
  • Performance the appraisals and implementation Corporate Secretarial procedures for the Team
  • Reviewing of board/ shareholder meeting minutes and written resolutions
  • Ensuring the statutory and regulatory requirements of funds and corporate entities are complied with
  • • Monitoring CoSec team processes and ensuring that deadlines are met
  • Ongoing monitoring, compliance and training with regard to Luxembourg Company Fund Law
  • Managing reviews of processes, procedures and registers
  • Liaison with Associate Directors and relevant Operations staff
  • Involvement in ad hoc projects requested by the management

 

The Competencies

  • At least 5 years of experience in a similar position.
  • Bachelor degree
  • Fluent English, both written and oral. Any other language would be considered as an advantage
  • Team management experience is a must
  • You have knowledge of Luxembourg Companies Law, regulation and associated statutory requirements
  • You are familiar with Articles of Incorporation, Limited Partnership Agreements and other legal documents relating to Corporate Governance
  • Strong company secretarial technical skills
  • You have excellent communication, organisational and time management skills
  • Ability to delegate tasks but remain accountable for ownership and pay attention to detail
  • Ability to work under pressure within a short time frame
