The Opportunity
A great opportunity to join an international private equity group which has structured investments through Luxembourg over the past 20 years. Our client’s operations in Luxembourg have become an increasingly important part of their investment program with now more than 50 companies domiciled in Luxembourg.
Given the material growth of our client’s portfolio over recent years, in both number and value, they are now looking to expand the team and appoint a Luxembourg Legal Counsel. Given that this role includes director responsibilities on a number of LuxCo's and frequent interaction with portfolio management and third parties, it will be very important that you have a high degree of gravitas and professionalism.
Key Responsibilities:
The appointment will be based in Luxembourg and report to the General Counsel and Finance Director who are both based in London. You will also work closely with the company’s Director of Tax.
The successful candidate will be responsible for all legal aspects of our client’s entities established in Luxembourg as well as ongoing corporate, regulatory, compliance and governance issues regarding the entities. Additionally, the successful candidate will work closely with the current team in Luxembourg to ensure a coordinated approach to the legal, tax, and accounting requirements of our client’s portfolio companies. You will also be responsible for:
•Acting as a local director on a number of Luxco’s
•Maintain a detailed and strong understanding of portfolio company businesses (e.g. particularly as it relates to board meeting preparation and ongoing structuring requirements)
•Develop and maintain ‘best practice’ procedures for investment, divestment and ongoing meeting protocols
•Prepare and maintain investment company documentation and portfolio company summaries
•Liaise with the company’s lawyers, tax advisors, accountants and/or other third parties as required
•Prepare for board meetings

Minimum Requirements :
●Fluent French and English (additional European language skills beneficial)
●Qualified lawyer with minimally 2-3 years post-qualified work experience
●Minimum of 3-5 year’s work experience in Luxembourg
●Direct exposure and/or experience within the financial services sector with a strong preference for direct work experience within private equity
